Share buy-back programme at SP Group A/S
On 11 April 2015, SP Group initiated a share buy-back programme, cf. company announcement no. 15/2015 of 26 March 2015. According to the programme, SP Group will in the period from 11 April 2015 until 31 December 2015 purchase own shares for a maximum amount of DKK 10.0 million.
The share buy-back programme was initiated and structured in compliance with the EU Commission Regulation No. 2273/2003 of 22 December 2003 (the so-called Safe Harbour Regulative for share buy-back programmes).

On 4 May 2015 SP Group A/S has sold 5,000 number of SPG shares of DKK 136.98 from the 2012 warrant programme, ID code DK0010244771, to 2 executive employees. The total selling price amounts to DKK 684,900. Subsequently, there are still 42,500 warrants from the 2012 programme which may be redeemed later.
As today, SP Group´s total holding of own shares is 8,963 number of shares of a nominal value of DKK 10, corresponding to 0.44 of the total number of issued shares of 2,024,000.
Incase of any discrepancies, the Danish version shall prevail.
