Share buy-back programme at SP Group A/S
On 19 April 2013, SP Group initiated a share buy-back programme, cf. company announcement no. 25/2013 of same date. According to the programme, SP Group will in the period from 19 April 2013 until 31 December 2013 Purchase own shares for a maximum amount of DKK 8.0 million.
As of 19 April 2013 SP Group holds 38,620 number of treasury shares of a nominal value of DKK 10 each corresponding to 1.91 % of SP Group’s share capital.
The share buy-back programme is initiated and structured in compliance with the EU Commision Regulation No. 2273/2003 of 22 December 2003 (the so-called Safe Harbour Regulative for share buy-back programmes) and thus SP Group will publish the accumulated share buy-back under the programme every week.

As announced in our Stock Announcement no. 01/2013, SP Group have acquired the remaining 10 % of the shares in TPI Polytechniek bv as of 1 January 2013. Payment took place on 30 April 2013 and the shares were paid in a combination of cash and 12,000 number of treasury shares at a price of 154.
As of today, SP Group’s total holding of own shares is 34,080 numbers of shares of a nominal value of DKK 10, corresponding to 1.68 % of the total number of issued shares of 2,024,000.
In case of any discrepancies, the Danish version shall prevail.
