Preliminary negotiations about acquisition

Gibo Plast, a subsidiary in SP Group, has entered into negotiations with the shareholders in DKI Form with special reference to an acquisition of the entire share capital of DKI Form.

DKI Form is the second largest company in Denmark within vacuum forming and has a considerable export share and a strong position in the market of automotive industries in Europe. DKI Form is growing steadily.

DKI Form’s revenue in the latest accounting year amounted to DKKm 48.

Gibo Plast and DKI Form complement each other well and a merger would create a strong and competent organization that can handle comprehensive and complicated projects for our customers in the North European industries efficiently. Therefore we expect sales and cost synergies as well in the longer run.

In case of a successful acquisition, as planned, it will contribute positively to the earnings and revenue of SP Group in 2008 and the following years. The acquisition will be paid in cash with an expected takeover on the 1 January, 2008.

The negotiations are expected to be completed in the beginning of December 2007 – after due diligence has been finalized.
